David is the founding shareholder of the law firm of Henningson & Snoxell, Ltd., located in Maple Grove, Minnesota. David practices primarily in the areas of:

  • Business and commercial law
  • Privately held companies
  • Nonprofit organizations
  • Mergers and acquisitions
  • Strategic and succession planning

Helping clients achieve objectives in their best interest is David's primary goal. David's client service philosophy is to provide proactive advice and practical solutions to help his clients make money, save money and stay out of trouble. By carefully listening to the issues and concerns expressed by his clients, David is positioned to provide continuing assistance toward problem avoidance, thus reducing his clients' need to respond to unnecessary situational problems at some time in the future. In addition to serving as President and CEO of Henningson & Snoxell, Ltd., David has owned businesses in retail, restaurant, commercial real estate, residential real estate, service and farming.

In his business law practice, David provides advice as outside general counsel to a number of nonprofit organizations. He works with privately held businesses, many of which are entrepreneurial and professional services clients including authors, lawyers, accountants, physicians, dentists and veterinarians, as well as franchisors and franchisees.

David serves as a strategic and business management consultant for many of his clients. He has established long-lasting client relationships based upon results and trust, enabling him to provide overall guidance in his clients' day-to-day operations, as well as effective planning advice for their future. David provides counsel and coordination of all transactional legal needs of his clients. He assists clients in all aspects of business planning and operations, including strategic planning, contracts, negotiation, employment issues, mergers, acquisitions and succession planning.

In his work with nonprofit organizations and foundations, David addresses all needs of the entity including formation, application to obtain IRS recognition as tax-exempt status, governance, business law, contracts, employee issues, strategic planning, mergers, acquisitions and applications to the IRS for letter rulings on various proposed transactions by charities. He also provides counsel to tax-exempt organizations where an organization seeks to partner with a for-profit entity.

Many of David's clients are involved in complex business and commercial transactions requiring his expertise in multiple legal disciplines such as financing, intellectual property, contracts, tax, employment law, health care, litigation analysis, strategic planning and restructuring.

David has represented privately held companies and nonprofits in merger and acquisition transactions in a variety of industries. He recently managed a multiple merger and acquisition transaction valued at $6 million involving several nonprofit organizations. The completed transaction permitted the expansion of the health care services of a highly respected nonprofit, and provided significant funding for a foundation serving the elderly.

Educational institutions and faith-based organizations frequently turn to David for help in achieving their objectives. David recently provided legal advice and strategic guidance to assist a nonprofit client in expanding their organization. The complex transaction involved the transfer of a radio station to a college, resulting in the expansion of the radio ministry's outreach. The end result also produced an extremely effective tool for the college to provide training and broaden the reach of its message to the public.

Always with the long-term best interests of his clients in mind, David uses his wisdom and experience in strategic succession planning to enable clients to meet their current needs, as well as their long term objectives. He works closely with his clients to help them clarify and prioritize their goals. David provides business consulting on organizational effectiveness, as well as legal strategies in succession planning and developing exit strategies for organizations. Many businesses struggle with the problem of how to cease doing business when the time is right. Transfer control to a family member? Sell? Shut down and liquidate? David helps clients sort through the tough issues and establish a plan, sometimes several years out, to position the company for transfer. He works with clients to position the business for sale, including interviewing brokers and working with financial planners to ensure that the financial goals of the owners are met.

Minnesota Law & Politics magazine has repeatedly named David a Super Lawyer, a designation reserved for only 5 percent of the total lawyers in the state. He is a member of the American, Minnesota State and Hennepin County Bar Associations and previously served as an Adjunct Professor of Economics and Business Law at Golden Valley Lutheran College.

David has served on various committees and task forces in the North Hennepin area.
